1. Terms of use
Registration at Matereality is contingent upon your accepting this Agreement. Acceptance of this Agreement and all of its terms and conditions allows access to and use of the Matereality Material Data Management (MDM) System, hereafter referred to as Matereality. By accepting, you agree to all terms and conditions of this binding Agreement between you and Matereality, LLC, including the warranty, disclaimer, limitation of liability, and termination provisions below.
Access to and use of Matereality is permitted only by authorized users. Any other access or use is strictly prohibited. By registering, you certify that all information provided as part of your registration is complete, accurate, and correct.
2. Modifications
Matereality, LLC reserves the right to make modifications to Matereality from time to time without obligation to notify you or any other person or organization of such revision or change. Registered users should consult these terms for conformance before accessing and using Matereality.
3. Limited access and use privilege
Subject to this Agreement, Matereality, LLC grants you a personal, limited, revocable, nonexclusive, nontransferable, nonsublicensable license to access Matereality from a computer under your control. Content is provided by material suppliers, material-data-generating testing laboratories, and other users. Matereality, LLC accepts no obligation or liability for consequences resulting from use of that content.
The design and structure of Matereality is owned by Matereality, LLC and protected by US Patent 7,613,700. You must retain and abide by patent, copyright, and related notices included with the website, printed reports, downloadable documents, and related materials.
You may not modify, translate, or reproduce the Matereality data structure; alter content posted by another party; sell or redistribute material reports you do not own; collect or catalog Matereality information outside the service; sublicense, rent, lend, transfer, post, transmit, or otherwise make content available to others; share login information; export content except as permitted; use Matereality unlawfully or abusively; or interfere with its proper operation. You are responsible for acts performed by you or on your behalf in conjunction with your use of Matereality.
4. Acknowledgement of trademarks and copyrights
Matereality, related logos, and designs are trademarks of Matereality, LLC, and this Agreement grants no rights in those trademarks. Software enabling access to and functionality of Matereality is copyrighted by Matereality, LLC.
5. Privacy and nature of business
Matereality facilitates material database creation and material-property information exchange between data owners and data users. This access must be protected through safeguards for data owners' interests. While reasonable technical, administrative, and physical steps are taken to protect confidentiality, Matereality, LLC is not liable for theft of information by third parties using illegal means. Matereality, LLC will remain vigilant against security threats, use available legal powers to defend the service, and will not reveal personal information collected from you to unrelated third parties.
6. No warranties
Matereality provides infrastructure for exchanging information about material properties. Matereality, LLC gives no assurances and makes no representations regarding that information, and its availability does not indicate validation by Matereality, LLC.
Matereality, LLC does not render engineering or structural advice. Materials-property information may be used in structural or engineering decisions at your own risk. Matereality, LLC is not responsible for the accuracy or inaccuracy of information stored, organized, or accessed through the service. Verify data and calculations with the relevant data owner or through independent testing.
7. Data quality and limitation of liability
Matereality works to keep delivered data accurate and current, with reviews during collection and analysis. However, Matereality, LLC, its associates, suppliers, and third-party partners will not be liable for loss of data, lost opportunity or profits, business interruption, cost of cover, or special, incidental, consequential, direct, or indirect damages arising from or relating to use of Matereality and its content, regardless of cause or theory of liability and whether notice of the possibility of damage was given. The user assumes the entire risk of using Matereality.
8. Disclaimer
To the fullest extent permitted by applicable law, Matereality and its content, including data, tools, and calculations, are provided as is and without express or implied warranty of any kind, including warranties of title, merchantability, or fitness for a particular use. No covenants, warranties, or indemnities are granted by Matereality, LLC to the user.
9. Termination
If you do not accept this Agreement, you must stop the registration process and must not access or use Matereality. This Agreement and your rights under it terminate automatically upon failure to comply with its terms. Matereality, LLC may deactivate or suspend use of Matereality at any time and for any reason.
10. Governing law
This Agreement is governed by the laws of the State of New York, USA, excluding its conflict-of-law rules.
